PERSONAL USE

Snooze does not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new or improved products or menu items, product enhancements, processes, recipes, materials, marketing plans or new product names. Please do not send any original creative artwork, suggestions or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when Snooze’s products or marketing strategies might seem similar to ideas submitted to Snooze. Please do not send your unsolicited ideas to Snooze or anyone at Snooze.
If, despite our request that you not send us your ideas, you still submit them, then regardless of what your letter says, the following terms shall apply to your submission. You agree and warrant that: (1) the submission will immediately become the sole and exclusive property of Snooze without compensation to you or any other person or party; (2) Snooze will consider the submission to be non-confidential and non-proprietary; (3) Snooze shall have no obligations concerning the submission, including but not limited to, no obligation to return any materials or acknowledge receipt of any submission; (4) Snooze may use or redistribute the submission or its content for any purpose and in any way it chooses; and (5) the submission does not contain trade secrets or proprietary information owned by another. You agree to execute any documents required by Snooze to confirm such rights.
PRODUCT SALES AND AVAILABILITY
All prices displayed on this Site are in U.S. Dollars. Snooze reserves the right, without prior notice and without incurring any obligations, to discontinue or change the specifications of any products or services offered on this Site.

Snooze reserves the right to modify or discontinue, temporarily or permanently, the Site or any features or portions thereof without prior notice. You agree that Snooze will not be liable for any modification, suspension or discontinuance of the Site or any part thereof.
JURISDICTION
Except with respect to principles of conflicts of laws, any dispute arising from these terms or from any other use of this Site shall be resolved in accordance with the laws of the state of Colorado and the prevailing party as determined by the trier of fact in any such action, proceeding, litigation or other dispute resolution forum or judicial proceeding shall be entitled to recover its reasonable attorney’s fees and costs.
INDEMNIFICATION
You agree to indemnify, defend and hold harmless Snooze, and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys’ or legal fees) arising out of or related to (i) your use of this Site, (ii) your violation of these terms, (iii) your violation of any rights of any third party, or (iv) your conduct in connection with the Site.

EXCEPT AS EXPRESSLY STATED OTHERWISE, THE CONTENT OF THIS SITE IS OFFERED ON AN “AS IS” BASIS, WITHOUT ANY WARRANTY WHATSOEVER, EXPRESS OR IMPLIED. SEVERABILITY
Any provision of these terms shall be severable to the extent that the provision, or any portion thereof, might be illegal, invalid or otherwise unenforceable. The invalidity of any provision, or portion thereof, shall not affect the enforceability of the remaining provision or provisions.
WAIVER
Failure or delay by Snooze to exercise any right, power, privilege or remedy shall not constitute a waiver thereof. No modification or waiver by Snooze of any provision shall be deemed to have been made unless made in writing.

Gift Card Terms of Use
These Additional Terms, together with any additional terms on the Card, govern your use of SnoozeTown LLC gift cards (including electronic gift cards (“eGift Cards”)) (“Gift Cards”), Snoozer Discount Cards (“Snoozer Cards”), and SnoozeTown LLC promotional, bonus and incentive cards (“Promotional Cards”). Gift Cards, Snoozer Cards, and Promotional Cards are sometimes referred to interchangeably and collectively as “Cards.” These Additional Terms supplement the SnoozeTown LLC Terms of Use, as well as any other additional terms identified by your use of the Cards, all of which are expressly incorporated herein by this reference.
These Additional Terms are between you (the “Cardholder”) and the issuer of the Card (“Issuer”). The Issuer shall be Snooze Gift Card LLC, an affiliate of SnoozeTown LLC.
By purchasing, accepting, or using your Card, you agree to be bound by these Additional Terms, the SnoozeTown LLC Terms of Use, and any additional terms on the Card. The Issuer reserves the right to change these Terms and Conditions at any time and in its sole discretion. Any changes will be effective upon posting of the revisions and notice of such changes to the site. If there is a conflict between the terms set forth herein and the terms on a specific Card, these terms shall control. IF YOU DO NOT AGREE WITH THESE ADDITIONAL TERMS, SNOOZE TERMS OF USE, OR ANY ADDITIONAL TERMS ON THE CARD, DO NOT PURCHASE, USE, OR ACCEPT THE CARD.
About Your Card Issuer
The Card is issued by Issuer, as defined above. Issuer is the sole legal obligor to the Cardholder. SnoozeTown LLC and its affiliates and related entities bear no responsibility or liability for any Card, and you hereby knowingly release SnoozeTown LLC, its affiliates and related entities (other than Issuer) from any and all liability or claims of any nature whatsoever arising in connection with the Card.

Purchasing Gift Cards & Receiving Promotional Cards
Gift Cards can be purchased at participating SnoozeTown LLC restaurants in the United States or online at https://www.snoozeeatery.com. Gift Cards are only valid if obtained from these distribution channels. Promotional Cards may be provided to you as a promotion in connection with the purchase of a Gift Card or in connection with another promotion at participating SnoozeTown LLC restaurants or online at https://www.snoozeeatery.com. Promotion Cards are not Gift Cards, are not able to be purchased and frequently have a set expiration date. Cards are not valid if obtained from unauthorized sellers or resellers, including through Internet auction sites. Cards are not debit or credit cards.

Sending Gift Cards
You may send a Gift Card using various means including email, email self-delivery and physical mail. The Gift Card sender is responsible for ensuring that the email address or physical address for the Gift Card recipient is correct. SnoozeTown LLC is not responsible and has no liability for any eGift Card that is undeliverable, not received by the eGift Card recipient, or claimed by someone other than intended eGift Card recipient as a result of inaccurate information provided by the Gift Card sender.
If the date you selected for delivery of your Gift Card has passed and you have not received confirmation that the Gift Card was sent, please contact Buyatab’s Customer Support at 1-888-721-5493. Please have on hand your six-digit reference number or be ready to provide your email address.
Physical Gift Cards will be processed and shipped within twenty-four hours of order placement (excluding orders that have been placed after 8pm EST/EDT on Fridays until 7:30am EST/EDT Monday, which will be shipped within 24 hours of 7:30am EST/EDT Monday).
Personalized Messages Or Images
If SnoozeTown LLC or Buyatab deems any personalized messages or images provided by you are inappropriate, offensive, or otherwise objectionable, your order may be delayed or cancelled at the sole discretion of SnoozeTown LLC or Buyatab.
Balance Inquiry
For balance inquiry, (i) for a PIN-enabled Card, visit https://www.snoozeeatery.com/gift-card-balance, call 1-888-721-5493, or visit any participating SnoozeTown LLC restaurant, or (ii) for a non-PIN-enabled Card, contact us via our website or visit any participating SnoozeTown LLC restaurant. The balance you receive when inquiring over the telephone or online is an estimate only. In most cases, the balance is adjusted 24 hours after you make a purchase, but there may be occasions when the balance adjustment is delayed.
Expiration/Deactivation
Gift Cards do not expire, and no fees for inactivity or service fees apply to such Cards. Promotional Cards expire on the date set forth as a part of the promotion. The issuer reserves the right to refuse to honor any Card in the event of a disputed credit card charge, bounced check, or other failure of consideration.
Redemption
Cards are redeemable only for purchases of in-restaurant or online order food, beverages, and other goods and services and related fees and charges, if any, identified by SnoozeTown LLC from time to time, and may be redeemed online at https://www.snoozeeatery.com, on the SnoozeTown LLC mobile application, or at participating SnoozeTown LLC restaurants. Gift Cards may not be used for the purchase of Snooze Catering. Cards have no cash value and may not be redeemed for cash except as required by law. Cards are not redeemable to purchase another Card or towards previously purchased goods or services.
Gift Cards cannot be purchased or redeemed at:

Reloadable
Gift Cards may be reloaded with value. Promotion Cards cannot be reloaded with value.
No Refunds
All sales are final. Cards are not refundable or redeemable for cash unless required by law and may not be returned or cancelled (e.g., in connection with a cancelled order or otherwise).
Lost, Damaged or Stolen Cards
The value of any lost, damaged, or stolen Card, or any Card altered or used without authorization, will not be replaced or replenished, except in limited circumstances with proof of purchase. If you suspect someone has copied or stolen your Card, call 1-888-721-5493 immediately. Compromised Gift Cards will not be replaced without your confirmation. Subject to confirmation by the Merchant or Buyatab, the remaining balance on a compromised Gift Card may be re-issued on a new Gift Card.
Limitations/Restrictions
The maximum value that can be associated with any one Gift Card is one thousand five hundred dollars ($1,500.00) and total purchases of Gift Cards for any one individual may not exceed (i) ten thousand dollars ($10,000.00) in one calendar day with respect to purchases of eGift Cards directly from SnoozeTown LLC on https://www.snoozeeatery.com, and (ii) one thousand five hundred dollars ($1,500.00) in one calendar day with respect to all other purchases of Gift Cards. Without the prior written consent of SnoozeTown LLC, Cards cannot be resold or transferred for value and such Cards are void if resold or transferred for value.
Promotional Cards may also have additional restrictions including an expiration date; these promotional Cards are only valid during the date range specified and cannot be extended. Promotional Cards cannot be used towards the purchase of Gift Cards, combined with any other offer or used towards the tip of a barista or server. Promotional Cards may not be used for the purchase of Snooze Catering. Promotional Cards are single use only; the entire amount must be used in one single transaction. Any remaining balance will be forfeited.

Privacy Policies
Information that you provide in connection with your purchase, or receipt, of a Card, is subject to the Privacy Policy of the authorized distributor where the Card was purchased or received.
Governing Law
The laws of the Commonwealth of Arizona, without regard to principles of conflict of laws, shall govern your use of the Card(s).
Fraud/Violation of Terms
Issuer reserves the right to refuse to honor a Card where Issuer suspects that (i) the Card was obtained fraudulently or (ii) the Card was obtained/used in violation of these Additional Terms, the SnoozeTown LLC Terms of Use, or any additional terms on the Card. If your Card is rejected, please contact us at call 1-888-721-5493 or contact us via our website.
All online orders of Gift Cards are subject to a process that verifies information provided by you for credit card authorization and fraud prevention. In order to purchase a Gift Card, you will need to provide certain information to Buyatab, including credit card and related payment and billing information. Buyatab or the Merchant may request further information to validate the transaction. In the act of providing such information, you warrant that all information provided is current, complete, and accurate. The collection, use, and disclosure of your information are subject to Buyatab’s Privacy Policy.
If there is a discrepancy, your Gift Card order may be delayed or held until the information can be verified. If the information cannot be adequately verified, your order may be cancelled at the discretion of Buyatab.

MySnooze Bennyfits Terms of Use
This Snooze A.M. Eatery® MySnooze Bennyfits loyalty program (the “Program” as further defined below) is offered by Snooze Import Export, LLC and/or its subsidiaries, designees and affiliates (“we” or “us”). These Terms and Conditions (“Terms and Conditions”) apply only to the Program offered herein, and not to any other website, mobile program, product, service, or program offered by us. These Terms and Conditions are a legal and binding agreement between you and us governing your use of the Program, including its content, information, services, and features.
PLEASE READ THESE TERMS AND CONDITIONS, WHICH APPLY TO YOUR USE OF THE PROGRAM AND ENROLLMENT AND PARTICIPATION IN OUR LOYALTY PROGRAM. YOUR CONTINUED USE OF ANY PORTION OF OUR MOBILE APP AND/OR ENROLLMENT IN OUR LOYALTY PROGRAM CONSTITUTES YOUR UNCONDITIONAL CONSENT TO FOLLOW AND BE BOUND BY THESE TERMS AND CONDITIONS, AS MAY BE AMENDED OR SUPPLEMENTED FROM TIME TO TIME BY US. IF YOU DO NOT AGREE TO ANY PORTION OF THESE TERMS AND CONDITIONS OR TO AUTOMATIC ENROLLMENT IN MYSNOOZE BENNYFITS FOR EXISTING APP USERS ONLY, YOU ARE NOT PERMITTED TO USE OR ACCESS THE APP, OUR PROGRAM AND/OR ENROLL IN OUR LOYALTY PROGRAM.
Modifications
Additionally, we may at any time, for any reason, and without notice or liability: (1) modify, change, suspend or discontinue the loyalty Program or any portion thereof altogether or at any restaurant location(s); (2) change, revise, or modify requirements for earning a reward or tier; (3) change the Program structure or any feature of the loyalty Program; (4) interrupt Program operation for maintenance or support or any portion thereof for maintenance and support; and/or (5) impose limits on certain features and services or restrict access to the loyalty Program. You acknowledge and accept that we do not guarantee continuous, uninterrupted or secure access to the Program, or that operation of the Program will be uninterrupted or error free. You understand that usage of the Program may be interfered with or adversely affected by numerous factors or circumstances outside of our control. Subject to these Terms and Conditions, at any time we reserve the right to terminate your account for any reason, including but not limited to account inactivity or a violation of the terms and conditions.
Content & Use
The Program and all content, information, and other materials featured, displayed, contained, and available on the Program (collectively, the “Content“) are intended solely for your own individual, non-commercial use. Unless otherwise explicitly specified, the Program and Content are copyrights, trademarks, trade dress, patents, and/or other intellectual property owned, controlled or licensed by us or by third parties who have licensed their materials to us and are protected by U.S. and international intellectual property laws. The compilation (i.e., the collection, arrangement and assembly) of the Program and the Content are the exclusive property of ours and are protected by U.S. and international copyright laws. You may not, in any way, otherwise copy, reproduce, distribute, transmit, display, perform, reproduce, publish, license, modify, create derivative works from, sell, or exploit, in whole or in part, the Program or its Content.
You agree to always use the Program and the Content in accordance with these Terms and Conditions and all applicable laws and regulations. We may prohibit access, use, conduct, communications, or content that we, in our sole discretion, deem to be harmful to the Program, the Content, users, us, our brand, or any other person or entity, or that violates these Terms and Conditions and/or applicable law. You acknowledge and agree that you do not acquire any ownership or license rights by virtue of downloading the Program or any Content. All rights not expressly granted under these Terms and Conditions are expressly reserved to us.
Program
We offer the Snooze A.M. Eatery® MySnooze Bennyfits Program to reward and thank our loyal restaurant customers. The Program is available to enrolled members at participating Snooze A.M. Eatery® restaurants in the United States (while we’ll do our best to make clear to you which locations do and do not participate in the Program, that information may not always be clear to you, and it is your responsibility to inquire as to each location’s participation). Points, known as “Jacks” accumulated under the Program are promotional and have no cash value. There are no membership fees associated with the Program.
Eligibility: You may enroll in the Program if you: (1) are a legal resident of the United States; (2) at least 18 years of age at the time you enroll (see restriction below); (3) have an active, valid email address and mobile phone number; (4) are a human being; (5) and are not a Snooze employee. No corporations, partnerships, limited liability companies, or other legal entities can participate in the Program.
The Program is not targeted towards, nor intended for use by, anyone under the age of 18. If you are under the age of eighteen (18), you may continue to use or sign up for an app account, but you may not use any of its Program functionality, even under the supervision of your parent or legal guardian. In no event may you participate in the Program, or sign up for an app account if you are under the age of thirteen (13).
Enrollment/Loyalty Account: You can enroll in the Program and create a loyalty account (“Loyalty Account”) in one of the following ways:
Your Loyalty Account is personal to you and may not be sold, transferred or assigned to, or shared with family, friends or others, or used for any commercial purposes. You may have only one (1) Loyalty Account. If we determine that you have created more than one (1) Loyalty Account, we may deactivate your Loyalty Account(s) at our discretion.
As a part of the Program, we will send you transactional, informational, and promotional messages and/or offers. These communications may happen in the form of push notifications through the Program, email, SMS and/or any other ways you may have selected when you enrolled in the Program; at enrollment you will be auto-opted into e-mail communications to verify your account with the ability to then opt-out in our app or by using the unsubscribe link in the bottom of our e-mails. If your account contact information changes, it is your responsibility to change your account contact information including email address and phone number. If you already have an account for our app or online ordering today, you will be automatically enrolled in the loyalty Program to earn rewards and are subject to these terms and conditions upon opening the app.
Your download of the Program for use on a mobile device constitutes your acknowledgment and acceptance that: (i) these Terms and Conditions is an agreement between you and us, and not the Program store provider (e.g., programle, Google) (“Program Store Provider”); (ii) the right to use the Program is non-transferrable and may only be operated by you pursuant to the Program Store Provider’s respective terms of use or service; (iii) we, not the respective Program Store Provider, are responsible for addressing any claims relating to the Program and a user’s possession or use of the Program, including but not limited to: (a) any product liability claims; (b) any claim that the Program fails to conform to any applicable legal or regulatory requirements; and (c) claims arising under consumer protection or similar legislation; (iv) in the event of a third party’s claim of intellectual property right infringement relating to the Program, the Content, or the user’s possession or use of the Program, we, not the respective Program Store Provider, are solely responsible for the investigation, defense, settlement and discharge of that intellectual property infringement claim; and (v) you represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
Earning Jacks
You will earn and receive Jacks (as defined below) towards Loyalty Rewards (as defined below) and tier status as follows:
Qualifying Purchases: Members will earn and receive Jacks toward redemption by making qualified purchases at participating Snooze A.M. Eatery® restaurants (“Qualified Purchase”) and completing at least one of the following steps: (1) Paying your in-restaurant check and providing the phone number registered to your loyalty account to your server (2) Scanning the barcode/QR code on the bottom of your in-restaurant receipt (3) Placing and paying for an online order via the Snooze Website (you must login to create an online order using the same account credentials tied to your loyalty account) or (4) Paying your phone-in-takeout order in-restaurant. While issuing Jacks is automatic in many cases, Program credit must be requested before payment and the phone number associated with your loyalty account must be provided to ensure that you get your Jacks! The purchase of catering orders and gift cards are not qualifying purchases. The maximum number of Jacks that can be earned per transaction, regardless of the purchase amount is 50,000. Receipt barcodes are valid to be scanned in app for credit up to 14 days after a guest’s visit or order.
“Qualifying Purchase” includes only (1) In-restaurant food & drink purchases; and (2) Online order food & drink purchases directly from the Snooze app, website or over the phone. Purchases that do not qualify include but are not limited to (x) gift cards; (y) catering orders; and (z) third-party orders including, but not limited to DoorDash, Uber Eats, Postmates and GrubHub.
You will earn 100 Jacks per United States Dollar (“$” or “U.S. Dollar”) spent on Qualified Purchases. To be eligible for a Qualified Purchase, the single transaction total must be greater than $1.00. You will not earn Jacks when purchasing Snooze A.M. Eatery® gift cards; however, you can earn Jacks by making Qualified Purchases with Snooze A.M. Eatery® gift cards. The maximum amount of Jacks you can earn for a single Qualified Purchase is 50,000 Jacks, regardless of the total amount of the transaction. You may earn Jacks for two (2) Qualified Purchases/Transactions per 16-hour period, regardless of the number of items purchased during that period. You will not earn Jacks with respect to the amount of the purchase total correlated to tips, taxes and fees (e.g., delivery fees, bag fees).
Once verified by us, the number of Jacks to which you are entitled will be added to your Loyalty Account. The Jacks Available for Redemption displayed on the Rewards Tab of the app is calculated by adding the total number of Jacks earned in any method during the life of a guest’s account, subtracting out the Jacks used towards reward redemptions or that have expired. Account History can viewed by tapping Program Details under the Rewards Tab. Your Jacks are non-transferrable and do not have any cash value. Jacks will not be credited for past in restaurant visits or online orders that are in excess of 90 days old from the date listed on your receipt.
Unlocking Rewards
You will unlock certain Loyalty Rewards (a “Reward“) and tier status by accumulating a certain number of Jacks for Qualified Purchases, and you may redeem such Reward at participating Snooze A.M. Eatery® restaurants. Once you earn a Reward, the amount of Jacks for the respective Reward shall be deducted from your Loyalty Account, and you may start accumulating Jacks towards another Reward. You may only redeem one (1) Reward or Referral Bonus per transaction regardless of the number of Jacks or Referral Bonus you have earned in your Loyalty Account. You are allowed to redeem only one (1) Reward or one (1) Referral Bonus per 16-hour period. A Reward or Referral Bonus may not be combined with any other offer or coupon. The number of days that Jacks and Referral Bonuses are valid varies; check your account for expiration dates. Your Jacks shall expire 365 days after they are earned. Account activity history can be viewed by tapping Program Details under the Rewards tab.
Challenges
Guests will on occasion have the opportunity to complete Challenges within the Program by meeting specific criteria. Once a guest completes the defined criteria, the completion Reward will be deposited into their account immediately. New challenges will be communicated via email.
Bonus Offers
Guests will have the opportunity to earn Bonus Jacks within the Program by meeting specific criteria. Current program bonuses include:
Earn 50% More Jacks When You Visit Monday – Thursday: Earn more when you visit Snooze or place an online order on Monday – Thursday. You’ll earn 150 Jacks per dollar spent on a qualifying purchase instead of 100!
Earn 5,000 Jacks for every friend or family member referred using a unique referral code found in the Invite Friends section under the More tab of the Snooze App.
Guest referred must use the unique referral code upon program enrollment and complete a qualified purchase before the extra bonus Jacks will be rewarded. Referral codes cannot be distributed through third party websites or social media without the express written permission of Snooze; doing so may result in account deactivation. Limit of 15 completed referrals per year will qualify to receive this bonus.

Rewards & Offers
Guests in the Program may also receive special Offers that do not require Jacks to use in addition to Rewards. Note Rewards and Offers may restrict the channel in which they can be applied (In Restaurant, Online or Both). View the Rewards/Offer description in your account for details. Guests may redeem only one Reward, Offer, Referral Bonus, Challenge Reward, Coupon or Promotion during a single visit; however Priority Seating can be booked for the same visit in which a reward or offer is also redeemed. Rewards, Offers, Referral Bonuses, Challenge Rewards, Promotions & Coupons may expire; check your offer for expiration dates. Rewards and Offers are subject to modification, change, suspension or discontinuation at any time. Once redeemed for Jacks, a Reward must be applied to a check within 2 hours (if not used within that time frame, the Jacks are redeposited in your account). Rewards and Offers are void if reproduced, altered or shared (including online or through a mobile device or app) and where prohibited. Rewards and Offers will not be replaced if lost or stolen and have no cash value. Rewards and Offers subject to change without notice at any time. Unless otherwise noted, all Rewards and Offers are valid for one time use at participating Snooze restaurants and are subject to availability. Rewards are not valid on third-party orders including, but not limited to those from DoorDash, Uber Eats, Postmates and GrubHub.
Earning Tier Status & Achievement Rewards
Guests will unlock tier statuses (Bronze, Silver, or Gold) within the Program by accumulating a certain number of Jacks from Qualifying Purchases. A Program year is defined as a 365-day period of time calculated based on the guest’s initial Program enrollment date. Upon enrollment all guests automatically qualify for Bronze tier status and receive access to redeem their available Jacks for rewards associated with that status. Each Program tier status contains rewards that become available for redemption using a guest’s available Jacks. When a new tier status is reached, a guest gains access to redeem their Jacks for the rewards within that new tier as well as the rewards from any lower tier status. Silver tier status requires a guest to earn 10,000 Jacks. Gold tier status requires a guest to earn 35,000 Jacks. Upon achieving Silver or Gold tier status, the following rewards will be automatically gifted to a guest’s account within 24 hours:

Guests will have one Program year to accumulate enough Jacks from qualifying purchases or bonuses to earn Jacks towards Silver or Gold tier status. With respect to calculating progress towards tier status’, the number of Jacks a guest accumulates in a single Program year are added together to calculate the total number of tier status qualification Jacks earned towards Silver or Gold tier status. This tier status qualification total does not reduce for Jacks redeemed during the Program year. It only accounts for the total number of Jacks earned in that Program year. In any Program year, when a guest accumulates enough tier status qualification Jacks to reach a higher tier status, that status is earned immediately, retained for the remainder of the current Program year, and the following Program year too. Determination of status is done through Jacks accumulated in the prior or current year as applicable. For the avoidance of any doubt, the total number of Jacks you have is not what determines your status, only the number of Jacks accumulated in the applicable time period. Additional Program Terms
Additional Program Terms: We reserve the right to suspend or terminate your account at any time for any reason including inactivity or violation our Terms & Conditions, you have more than one (1) Loyalty Account, or that the use of your Loyalty Account is unauthorized, deceptive, fraudulent or otherwise unlawful or harmful. We may, in our sole discretion, suspend, cancel, or combine Loyalty Accounts that appear to be duplicative, and may refuse to allow you to re-enroll in the Program. Any available Jacks in a guest’s account that were earned more than 365 days prior to the current date will expire.
We have the right at any time, with or without giving you prior notice, to:
end or cancel the Program and/or any specific Reward;
change any Reward, Offer, Bonus or other Program benefit we offer;
change the requirements for earning a particular Reward;
change the time you have in which to earn a particular Reward; and/or
change any other feature of the Program.
If we end the Program, Rewards, Offers, Jacks and Referral Bonuses you have earned but not used will automatically expire.
Login and Registration: Certain features or services offered on or through the Program may require you to complete a registration process and/or set up an account or login. In connection therewith, you agree to: (1) provide true, accurate, current, and complete information about yourself; and (2) maintain and promptly update your information to keep it true, accurate, current, and complete. You are entirely responsible for maintaining the confidentiality of the information you hold for your login, including your password. You agree to notify us immediately of any unauthorized use of your login, or any other breach of security. You may be held liable for losses incurred by us or any other Program user or visitor due to someone else using your login as a result of your failing to keep your login information secure and confidential.
You may not use anyone else’s account or login information. We shall not be liable for any loss or damage arising from your failure to comply with these obligations.
NO WARRANTIES: THE PROGRAM, THE CONTENT, AND THE LOYALTY PROGRAMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND WE AND OUR RELATED ENTITIES, FRANCHISEES, SERVICE PROVIDERS AND OUR AND THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “SNOOZE PARTIES”) HEREBY EXPRESSLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, SYSTEM INTEGRATION, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, SNOOZE PARTIES DO NOT REPRESENT OR WARRANT THAT THE PROGRAM OR CONTENT WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. LIMITATIONS OF LIABILITY: IN NO EVENT SHALL ANY OF THE SNOOZE PARTIES BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DAMAGES (DIRECT OR INDIRECT) WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM (INCLUDING ITS MODIFICATION OR TERMINATION), THE CONTENT, THE LOYALTY PROGRAM, OR THESE TERMS OF USE, WHETHER OR NOT WE MAY HAVE BEEN ADVISED THAT ANY SUCH DAMAGES MIGHT OR COULD OCCUR AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. Electronic Communications: When you send emails or SMS messages to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email and SMS or by posting notices within your account Inbox. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Terms of Use.
International Users: The Program is controlled, operated, and administered by us from offices within the United States and is intended solely for use and access by persons residing in the United States, its territories and possessions. We make no representation regarding use of the Program outside of the United States. You may not use the Program or export any portion of it in violation of U.S. export laws and regulations. If you access the Program from locations outside of the United States, you are responsible for compliance with all local laws.
Governing Law/Venue: The Program is governed by and subject to the laws of the State of Colorado, U.S.A., and, where applicable, U.S. federal law, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction and venue of the courts located in Colorado, U.S.A., for any disputes arising out of these Terms and Conditions, the Program, or the Program. Notwithstanding this provision, you agree that we may apply for injunctive or other equitable relief in any court of competent jurisdiction.
INDEMNIFICATION: YOU AGREE TO DEFEND, INDEMNIFY AND HOLD ALL OF THE SNOOZE PARTIES HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, COSTS AND EXPENSES, INCLUDING ATTORNEYS’ FEES, ARISING FROM OR RELATED TO (I) YOUR USE OF THE PROGRAM; AND/OR (II) YOUR BREACH OF ANY OF THE PROVISIONS OF THE TERMS AND CONDITIONS.
Privacy: Please review our Privacy Policy (the “Privacy Policy”), which is incorporated herein and also governs your use of the Program, to understand our privacy practices.
Account Deletion: If you choose to delete your account from within the Snooze mobile app, make a request for account deletion or a general request to delete your data, you will lose access to your MySnooze Bennyfits account; all Jacks and available
General Provisions: All or any of our rights and obligations hereunder may be assigned to a subsequent owner or operator of the Program in a merger, acquisition or sale of all or substantially all of our assets. If, for any reason, a court of competent jurisdiction determines any provision of these Terms and Conditions or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible so as to give the intended effect thereof, and the remainder of these Terms and Conditions will continue in full force and effect. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to that breach or subsequent or similar breaches.
